Limitation of Liability 4.1 Exclusion of Consequential DamagesNeither Party shall be liable to the other for any consequential, indirect, incidental, special, or punitive damages arising out of or in connection with this Agreement, including without limitation lost profits or business interruption. 4.2 Limitation of LiabilityThe liability of each Party to the other Party for any direct damages arising out of or in connection with this Agreement shall be limited to the total amount of the Price paid or payable by the Buyer to the Service Provider under this Agreement. 5. Confidentiality and Intellectual Property Rights 5.1 ConfidentialityEach Party agrees to maintain the confidentiality of all confidential information of the other Party disclosed or made available to it in connection with this Agreement, and to use such information only for the purposes of this Agreement. 5.2 Intellectual Property RightsThe Service Provider retains all intellectual property rights in any work product created by the Service Provider in connection with the provision of the Services. The Buyer shall have a non-exclusive, non-transferable license to use such work product solely for its internal business purposes. 6. Governing Law and Dispute Resolution 6.1 Governing LawThis Agreement shall be governed by and construed in accordance with the laws of [state/province/country]. 6.2 Dispute ResolutionAny disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the [name of arbitration association].
